Jonathan D. Mishkin, LL.M., a member of the firm’s Business Department, practices federal income tax law, including both tax controversy and transactional matters, and estate planning and probate law.  His clients include individuals and families, partnerships, corporations, tax exempt organizations, grant-making foundations, educational and charitable institutions, trusts and trustees, and other business entities.  Jonathan’s breadth and depth of experience in these areas makes him a particularly capable advisor and counselor of closely-held businesses, and he is a valued member of the firm’s Closely-Held Business Team.   His advice includes all aspects of corporate taxation, including mergers and acquisitions, reorganizations and general corporate tax issues, and he also regularly advises clients with regards to partnership, S corporation and limited liability company transactions, choice-of-entity issues, and general tax planning.  He regularly represents taxpayers in IRS audits, administrative appeals, and litigation. 

Memberships/Affiliations

Jonathan is a member of the Oregon State Bar Tax Section and the Multnomah Bar Association.  He also belongs to the Duck Athletic Fund and the University of Oregon Alumni Association.
When Jonathan is not serving his clients, you can likely find him hiking and camping with his trusted Siberian husky.

Education

Jonathan received his LL.M. in Taxation from Georgetown University Law Center and his JD from the University of Oregon School of Law.  While attending Georgetown University Jonathan was awarded a Graduate Tax Scholar Fellowship. He also holds a BA in Economics and Political Science from the University of Pennsylvania. 

Representative Experience

Significant engagements:

• Represented numerous public and private corporations in taxable and tax-free spin-offs along with taxable mergers ranging from $10 million to $1 billion.

• Handled corporate due diligence on buyer and seller side for various corporate acquisitions ranging from $10 million to $1 billion.

• Experience with drafting nondisclosure/confidentiality agreements (both mutual and unilateral) in preparation for merger discussions between multinational clients where trade secrets were a key component of the acquisition.

• Represented multinational corporation in two separate tax controversies with the Internal Revenue Service and Revenue Canada, both resulting in full concession from each respective tax agency.

• Represented public corporation in restructuring related to a $2 billion secured credit facility.

• Represented two separate sellers concerning large timber tracts in Texas and Louisiana.

• Represented closely-held corporations in both domestic and international joint ventures and restructurings.
